Organisation Structure
The IMRS was incorporated under the Companies
Acts in January 2004 as a company limited by
guarantee and not having a share capital. It was
accorded charitable status in May 2004.
Membership: The Company was initially
registered with nine members but this has now
grown to 82 missionary organisations. Under the
Articles of Association, the members have the
authority to admit new members.
The existing members can set the criteria
regarding eligibility for membership. At present
membership is open to all missionary
organisations registered in Ireland and holding
charitable status. The criteria will be kept
under review and may be amended in the future.
Board: Nine Directors are elected by members
at Annual General Meetings and they normally
hold office for a period of three years. In
order to ensure continuity of experience,
interim arrangements were made at the outset
whereby Directors were elected to serve for
terms ranging from two to four years.
Substitutes are also elected at AGMs to fill
vacancies that may arise during the year.
Initially all Directors were drawn from the
member organisations. In order to bring in
complementary skills and experience and to
strengthen linkages, the members may nominate
and elect outside Directors if they so choose.
Staff: The staff are appointed by the Board.
The initial complement consisted of a Chief
Executive and six core staff, three of whom were
part-time. Additional staff may be required as
the budget and workload expand but it is the
clear intention that the IMRS will remain an
organisation with low overheads.
